Welcome to Pavn. These Terms and Conditions ("Terms") govern your access to and use of the website at pavn.app, platform, and services (collectively, the "Services") provided by Pavn.app, LLC ("Pavn," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our Services. By using the Services, you represent and warrant that you meet these requirements. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

To access certain features of the Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your login credentials confidential and secure.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for unauthorized purposes.

3. Use of Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates any applicable local, state, national, or international law or regulation.
• Attempt to gain unauthorized access to any part of the Services, other accounts, or any systems or networks connected to the Services.
• Interfere with or disrupt the integrity or performance of the Services or related systems.
• Use the Services to transmit any malware, viruses, or other malicious code.
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of any part of the Services.
• Use automated means (bots, scrapers, etc.) to access the Services without our prior written consent.
• Resell, sublicense, or redistribute the Services without authorization.

4. Intellectual Property

All content, features, functionality, software, designs, text, graphics, logos, and trademarks displayed on or through the Services are the exclusive property of Pavn.app, LLC or its licensors and are protected by United States and international intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services or included content, nor may you reverse-engineer or attempt to extract the source code of our software, unless applicable law gives you the right to do so.

5. User Content

You may submit, upload, or transmit content through the Services ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant Pavn a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content solely to the extent necessary to provide and improve the Services.

You represent and warrant that you own or have the necessary rights to your User Content and that it does not infringe upon the rights of any third party.

6. Third-Party Integrations

The Services may integrate with third-party services (e.g., Slack, Microsoft Teams, access control systems). Your use of any third-party service is governed by that service's own terms and privacy policy. Pavn is not responsible for the availability, accuracy, or practices of any third-party service.

7. Fees and Payment

Certain features of the Services may require payment of fees. If applicable, you agree to pay all fees as described at the time of purchase. All fees are non-refundable unless otherwise stated. We reserve the right to change our pricing at any time with reasonable notice.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, PAVN DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. Pavn does not guarantee any specific results from the use of the Services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PAVN.APP, LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL PAVN'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNT YOU PAID TO PAVN IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Pavn.app, LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) your User Content.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice, at our sole discretion. Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Effective Date." Your continued use of the Services after any changes constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Services.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pavn regarding the use of the Services and supersede all prior agreements, understandings, and communications.
